1. Nature of the Site & SaaS Disclaimer

This Site is an e-commerce and informational platform powered by Dealer Essential (“Platform Provider”).

• Role of Platform Provider — You acknowledge that Dealer Essential is strictly a technology service provider acting on behalf of the Dealership. They are not a party to any vehicle sale, financing agreement, or service contract you enter into with the Dealership. They bear no liability for the accuracy of vehicle data, pricing, or the physical condition of inventory.
• Site Availability — We do not guarantee that the Site will be error-free, uninterrupted, or available at all times. We reserve the right to modify or discontinue any portion of the Site without notice.

2. Vehicle Inventory and Pricing

Use of this Site is subject to the following strict inventory disclaimers:

A. Pricing Errors

We strive for accuracy, but data feed errors occur. If a vehicle is listed at an incorrect price due to a typographical, photographic, or technical error (including VIN decoding errors), the Dealership reserves the right to refuse or cancel any orders or holds placed for the vehicle at the incorrect price. This applies even if you have received an electronic confirmation or “locked” a price online.

B. Vehicle Availability

Vehicle inventory is updated daily but changes in real-time. A vehicle listed on the Site may have been sold physically on the lot minutes prior. We do not guarantee the availability of any specific vehicle until a purchase agreement is signed at the Dealership.

C. “As-Is” Information

Vehicle descriptions, options, and features are often populated via VIN decoding software. We do not warrant that these descriptions are 100% accurate. It is your sole responsibility to physically verify the presence and condition of specific features (e.g., navigation, heated seats, aftermarket upgrades) before purchase.

3. Financing & Pre-Approval

• No Guarantee — Submission of a credit application does not guarantee approval or specific rates. Final terms are determined by third-party lenders based on creditworthiness and vehicle selection.
• Estimation Only — Payment calculators provide estimates only. Actual payments will vary based on taxes, title, license fees, dealer add-ons, and lender terms.

4. User Conduct and Prohibited Acts

You agree NOT to engage in the following misuse of the Site:

1. Scraping & AI Training — Accessing the Site via automated robots, spiders, scrapers, or offline readers to extract pricing data, inventory lists, or images for competitive intelligence or AI model training without our express written permission.
2. Identity Theft — Impersonating any person or entity or submitting false information on credit applications.
3. Security Breaches — Attempting to interfere with the Site’s security features, including the Dealer Essential backend, API, or database.

5. Intellectual Property

• Ownership — All content on this Site (vehicle photos, logos, text, code, Dealer Essential software interface) is property of the Dealership or its licensors, protected by U.S. and international copyright laws.
• Limited License — You are granted a limited, non-exclusive, revocable license to access the Site for personal, non-commercial vehicle shopping. You may not reproduce, distribute, or create derivative works.

6. Text Messaging and Communications

By opting into our forms (e.g., “Check Availability,” “Text Us”), you consent to receive communications from AMMS GROUP LLC and Dealer Essential via phone, email, and SMS text messaging, including via automated dialing systems. You may opt-out of text messages at any time by replying “STOP.” Consent is not a condition of purchase. Message and data rates may apply.

• Mandatory Arbitration — Any dispute arising from these Terms or your use of the Site shall be resolved through binding arbitration administered by the American Arbitration Association (AAA), not in court.
• Class Action Waiver — You agree to resolve disputes individually and waive the right to participate in class, collective, or representative proceedings.
• Exception — Small claims court actions are permitted if the claim qualifies.
